End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you and Strategic Account Management Services (SAMS) regarding your access to and use of the SAMS software, application, and related services (collectively, the "Service").

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You agree that you will not:

• copy, modify, distribute, sell, lease, sublicense, or reverse engineer the Service except as expressly allowed by law;
• use the Service to violate law or the rights of others;
• interfere with the security, integrity, or performance of the Service;
• attempt to gain unauthorized access to accounts, workspaces, systems, or data;
• use the Service to transmit malicious code, spam, or harmful content;
• use the Service in a way that could disable, overburden, or impair SAMS or connected third-party services.

You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs under your account or within your organization’s workspace. You must promptly notify SAMS at help@strategicams.com if you believe your account or the Service has been accessed or used without authorization.

You are responsible for the accuracy, legality, and appropriateness of the data you or your users submit to the Service.

The Service may integrate with QuickBooks Online using Intuit’s APIs and OAuth authorization flow. By connecting QuickBooks, you authorize SAMS to access and process the QuickBooks data required to provide the features you enable, such as connection management, customer or vendor import, purchase-order creation, PDF retrieval, and webhook-driven synchronization.

Intuit and QuickBooks are third-party services. They are not licensors of SAMS, are not parties to this EULA, and are not responsible for SAMS support, maintenance, warranties, or claims relating to the Service. Your use of QuickBooks is governed by your agreements with Intuit.

If you disconnect QuickBooks from SAMS, QuickBooks-connected features may stop functioning until the integration is reauthorized.

As between you and SAMS, you retain your rights in the data you submit to the Service. You grant SAMS the rights necessary to host, store, process, transmit, reproduce, and display that data solely to provide, secure, support, and improve the Service and to comply with law.

SAMS handles personal information as described in the SAMS Privacy Policy.

SAMS may modify, update, improve, suspend, or discontinue all or part of the Service from time to time. We will use reasonable efforts to avoid unnecessary disruption, but we do not guarantee that the Service will always be uninterrupted, timely, secure, or error-free.

We may add or remove features to reflect operational, legal, security, or product needs.

SAMS may suspend or terminate your access to the Service if we reasonably believe you have violated this EULA, created a security risk, used the Service unlawfully, or if suspension is necessary to protect SAMS, customers, or third parties.

You may stop using the Service at any time. Upon termination, the rights granted to you under this EULA end immediately, but the sections that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitations of liability, governing law, and disputes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SAMS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SAMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DATA, REPORTS, OR QUICKBOOKS SYNCHRONIZED OUTPUT WILL ALWAYS BE COMPLETE, CURRENT, OR FREE OF DEFECTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
